1. Who we are

The Kennel is a web app for dog trainers, their clients and staff, and dog owners who train their own dogs. It is available at https://the-kennel-ikrh.onrender.com (a custom domain may be added later) and as a home-screen app installed from that site.

The Kennel is owned and operated by Cee Dee Outdoors LLC ("Cee Dee Outdoors", "we", "us", "our"), Troy, New Hampshire. Contact: ceedeeoutdoors@gmail.com.

By creating an account, accepting an invitation, or using The Kennel, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use The Kennel.

2. Who uses The Kennel

Trainers ("kennels"): a business that signs up for a Trainer plan and uses The Kennel to manage its dogs, clients, staff and billing.
Clients: dog owners invited by a trainer to see their dogs, statements, messages and updates.
Helpers: a trainer's staff, invited by the trainer, with the limited access the trainer's account allows.
Single owners: a person who signs up for the Single owner plan to keep records for their own dogs. There is no trainer and there are no clients on that plan.

A trainer is responsible for the people it invites (clients and helpers) and for what it tells them about The Kennel.

3. Your account

Give accurate information and keep it up to date.
Keep your password and sign-in links private. You are responsible for activity on your account.
Tell us right away at ceedeeoutdoors@gmail.com if you think someone else has used your account.
You must be at least 18 years old (or the age of majority where you live) to create a Trainer or Single owner account.

4. Plans, trial and payment

Plans. Trainer: $29.99 per month or $299.00 per year. Single owner: $9.99 per month or $99.00 per year, for up to 5 active dogs. The current prices are shown on our website and on your Plan & billing page. We may change prices; a change applies from your next billing period after we give you notice. Bills already issued keep their price.
Free trial. New accounts can start with a 14-day free trial (no card needed). If you do not cancel before the trial ends, your chosen plan starts.
Billing. Monthly plans are billed each month; yearly plans are billed once a year. Card payments are not live yet (the app is in test mode and no card is charged). We plan to use Stripe to process card payments; when we do, Stripe's terms will also apply to your payment.
Late payment and suspension. If a payment fails, your account is marked past due and we send reminders. If it is still unpaid after the grace period (currently 7 days), we may suspend the account. While suspended, you and your clients cannot use it, but your data is kept, and paying the balance reactivates it.
Cancellation. To cancel your plan, email us at ceedeeoutdoors@gmail.com.
Taxes. Prices do not include taxes unless stated.

5. Payments between trainers and clients

The Kennel helps trainers keep running statements, invoices and a record of payments they receive. Payments between a client and a trainer (for example by Venmo, check or cash) go directly between them. We are not a party to those payments, we do not process, hold or guarantee them, and we are not responsible for disputes about them. A trainer is solely responsible for its own prices, charges, invoices, refunds and taxes to its clients.

6. Your content and data

You own your content. Trainers own their kennel's data, including the information and content about their clients and their clients' dogs that they or their clients put into The Kennel. Clients and single owners own the content they upload. We do not claim ownership of any of it.
Permission you give us. You give us a limited permission to store, copy, process, display and back up your content only as needed to run, secure and improve The Kennel for you, and to show it to the people your account shares it with (for example, a trainer's clients see their own dogs' records).
You are responsible for what you upload. You must have the right to upload everything you put into The Kennel (photos, videos, documents, names and contact details of other people), and it must not break any law or anyone else's rights. A trainer is responsible for having permission from its clients and staff to put their information into The Kennel.
Not a records-keeping guarantee. We back up data regularly, but you should keep your own copies of anything important, such as vaccine and health certificates.

7. Acceptable use

You agree not to:

copy, sell, resell, rent, license or sublicense The Kennel or any part of it, or offer it to others as a service;
scrape, crawl or harvest data from The Kennel by automated means, except as we allow in writing;
reverse engineer, decompile or try to extract the source code, except where the law does not allow this restriction;
use The Kennel, or anything learned from it, to build or help build a competing product or service;
get around security, access limits, rate limits or plan limits, or access another account or kennel's data;
upload anything unlawful, harmful, infringing, harassing, or containing malware;
use The Kennel to send spam or messages people did not ask for.

8. Our property

The Kennel's software, design, look and feel, text, graphics, the name "The Kennel", the TK logo and other logos (other than a trainer's own logo and branding) belong to Cee Dee Outdoors LLC and are protected by copyright, trademark and other laws. We give you a limited, personal, non-exclusive, non-transferable right to use The Kennel while your account is in good standing and only under these Terms. Nothing else is licensed to you. If you send us suggestions, we may use them without owing you anything.

9. Dog training, trials and health: no guarantees

The Kennel is a record-keeping and communication tool. We do not train dogs, and we make no promise about any dog's training progress, behavior, performance, health, safety, field trial entries, placements or results. Training, care, handling and trial decisions are made by the trainer and the owner, not by us. Reminders (for example vaccine due dates or answer-by times) are a convenience; you remain responsible for meeting deadlines and requirements of vets, clubs, events and the law. Trial entries recorded in The Kennel are not entries with the club unless you make them with the club.

10. Suspension and termination

We may suspend or close an account, or remove content, if the account is past due, breaks these Terms, creates risk or possible legal exposure for us or others, or if we are required to by law. Where reasonable, we will tell you first. You may stop using The Kennel at any time.

11. Changes to The Kennel and these Terms

We may change, add or remove features. We may update these Terms; if a change is material we will give notice in the app or by email before it takes effect. Continuing to use The Kennel after the change means you accept it.

12. Disclaimer

THE KENNEL IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR THAT DATA WILL NEVER BE LOST. Notifications, emails and offline syncing may be delayed or fail.

13. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW: (a) WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE KENNEL IS LIMITED TO THE AMOUNT YOU PAID US FOR THE KENNEL IN THE 12 MONTHS BEFORE THE CLAIM. This includes claims about injury to or loss of any dog, training results, trial results, and payments between trainers and clients.

14. Indemnity

You agree to defend and hold us harmless from claims, losses and costs (including reasonable attorney's fees) arising from your content, your use of The Kennel, your breach of these Terms, or (for trainers) your services to and dealings with your clients and staff.

15. Governing law and disputes

These Terms are governed by the laws of the State of New Hampshire, USA, without regard to its conflict-of-laws rules.

16. Other terms

If a part of these Terms cannot be enforced, the rest still applies. Our not enforcing a term is not a waiver. You may not transfer your account or these Terms without our written consent; we may transfer them with our business. These Terms and the Privacy Policy are the whole agreement between you and us about The Kennel.
